Welcome to TWD Studios (Transform With Design). By subscribing to our design services, you agree to the following terms and conditions. Please read them carefully.

1. Subscription Services:

• Description: TWD provides subscription-based design services, offering clients access to our design team for a recurring monthly fee. The scope of services will be as outlined in your chosen subscription plan.
• Unlimited Requests: Our "unlimited requests" policy allows you to submit as many design requests as you need. However, we will work on one or two requests at a time (depending on the plan subscribed to), and turnaround times will vary depending on the complexity of the request.
• Scope of Work: The specific deliverables and scope of work included in your subscription will be detailed in your chosen plan. Requests that fall outside the defined scope may incur additional charges or be declined.
• Revisions: We offer unlimited revisions to ensure your satisfaction. Excessive revisions may be subject to delay in project completion.

2. Subscription and Payment:

• Subscription Period: Subscriptions are billed on a recurring monthly basis, beginning on the date of your initial payment.
• Payment: Payments are processed automatically through our secure payment gateway. You agree to provide accurate and up-to-date payment information.
• Billing: You will be billed monthly on your subscription's anniversary date.
• Price Changes: We reserve the right to change our subscription fees with 30 days' notice.
• Cancellation: You may pause or cancel your subscription at any time. Cancellations will take effect at the end of your current billing cycle. No refunds will be provided for partial billing cycles.

3. Intellectual Property:

• Ownership: Upon full payment, you will own the final design files created by TWD for your use.
• Source Files: Source files (e.g., .PSD, .AI, .FIG) will be provided upon request, subject to the terms of your subscription plan.
• Our Portfolio: We reserve the right to showcase completed projects in our portfolio and marketing materials, unless otherwise agreed upon in writing.

4. Client Responsibilities:

• Clear Briefs: You are responsible for providing clear and detailed design briefs.
• Timely Feedback: You agree to provide timely feedback and approvals.
• Content Provision: You are responsible for providing all necessary content, including text, images, and brand guidelines.
• Legal Compliance: You are responsible for ensuring all provided content complies with copyright and trademark laws.

5. Limitation of Liability:

• Disclaimer: TWD provides design services on an "as is" basis. We make no warranties, express or implied, regarding the suitability of our services for your specific needs.
• Liability: In no event shall TWD be liable for any indirect, incidental, consequential, or punitive damages arising from your use of our services.
• Maximum Liability: Our maximum liability to you for any claim arising from your use of our services shall be limited to the total amount paid by you for the subscription during the preceding 12 months.

6. Confidentiality:

• Non-Disclosure: Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of the subscription.

7. Termination:

• Breach: We reserve the right to terminate your subscription for breach of these Terms of Service.
• Force Majeure: We shall not be liable for any failure or delay in performing our obligations due to events beyond our reasonable control.

8. Governing Law:

• These Terms of Service shall be governed by and construed in accordance with the laws of Bangalore, India.

9. Changes to Terms & Conditions:

• We reserve the right to modify these Terms of Service at any time. We will notify you of any changes by posting the updated terms on our website.

10. Returns and Refunds

• TWD Studios reserves the right to deny refunds based on its own self discretion and without notice or liability to clients. Refund requests are assessed on a case by case basis. Should Client request a refund during the first month of use, all materials produced by TWD Studios are owned by the company and are prohibited from being used by the Client in any way. If a refund is deemed to be appropriate, there will be a 25% fee assigned to the remaining billable period. Furthermore, Stripe fees associated with the transaction will not be refunded. TWD Studios reserves the right to take appropriate legal actions against Client for breach of this paragraph.
